Any future production use of DWA’s software, including Cortex©, will be governed by separate commercial contracts, platform terms, and service schedules, rather than these Website Terms.

1. Permitted Users
The Website and its contents are designed and intended exclusively for professional, institutional, and business audiences. By accessing the Website, you represent and warrant that:
You are at least 18 years of age; and
You are accessing the Website on behalf of a business, institution, or legal entity, and you have the requisite authority to bind that organization to these Terms. The Website is not intended for retail consumers.
2. Regulatory Status & Non-Custodial Operations
No Regulatory Authorization: DWA Tech Ltd is a technology company. We are not currently authorized or regulated by the ADGM Financial Services Regulatory Authority (FSRA). DWA does not hold any FSRA license, regulatory permission, or sandbox participation, nor do we have any pending authorization applications. DWA does not provide investment advice, brokerage, custody, exchange, payment, portfolio management, or any other regulated financial services through the Website.
Non-Custodial Architecture: DWA does not take custody of users’ funds, fiat money, private keys, wallets, or digital assets. DWA does not control underlying blockchains, custodians, digital wallets, stablecoin issuers, cryptocurrency exchanges, liquidity venues, or other third-party infrastructure. You remain solely responsible for the security and management of your own assets and infrastructure.
3. Cortex© and AI Disclaimer
The Website may contain information, materials, or demonstrations regarding our proprietary technology, including Cortex©. You acknowledge and agree that:
Cortex© website content and demonstrations are purely illustrative;
Outputs or demonstrations may be incomplete, delayed, or inaccurate;

4. Investor Portal & Fundraising Disclaimers
Restricted Access: Access to the investor portal (investor.dwadlt.com) is strictly restricted, subject to DWA's prior approval, and provided only to eligible, professionally relevant persons (or any specific investor explicitly approved by DWA). DWA reserves the right to verify your identity and institutional affiliation, approve or reject applications at our sole discretion, and monitor portal access. Access is revocable by DWA at any time, at our sole discretion, without prior notice.
Confidentiality: Accessing the investor portal is subject to additional portal terms and strict confidentiality restrictions. DWA may prohibit the sharing, copying, or redistribution of investor materials, and may watermark or digitally log access to confidential documents.
Fundraising Disclaimer: Statements on the Website, including phrases such as "Seed Round Now Open," are for informational purposes only. Nothing on the Website or investor-access page constitutes an offer, invitation, or solicitation to acquire securities, tokens, or any other investment. This strong protection and zero-liability cap applies to all causes of action in the aggregate, including breach of contract, tort (including negligence), or otherwise.
